ARTICLE 1 : DEFINITIONS

ToU: means the General Terms of Use of this Site.

Subsidiaries: means any commercial company, present or future, whatever its form, joint venture or other entity with legal personality, established in France, controlled by SAMSIC RH or which is under joint control with SAMSIC RH. “Control” being defined as the direct or indirect holding of more than half of the share capital or voting rights as provided for in Article L.233-3 of the French Commercial Code, and (ii) any legal structure, established in France, that is a direct spin-off of a commercial company affiliated with SAMSIC RH in accordance with the above provisions;

SAMSIC RH: means Samsic RH.

Services: means the services accessible via the Site.

User: means any natural person using the Site.

 

ARTICLE 2 : PREAMBLE

The Publisher belongs to SAMSIC RH and makes the Site available to Users in order to present the services it offers.

The Services accessible on the Site are independent of the said services offered, the performance of which is exclusively governed by the contract signed between the User and the relevant SAMSIC RH entity, to the exclusion of any liability on the part of the Publisher.

 

ARTICLE 3 : PURPOSE

The ToU are intended to govern the use of the Site and the Services accessible to the User. Use of the Site and/or Services implies unreserved acceptance of the ToU by the User, who undertakes to comply therewith, as well as with all applicable laws and regulations.  Users acknowledge that they are solely and exclusively responsible for their use of the Site.

The ToU come into force on the date shown in the header and the version of the ToU currently online is the only enforceable version throughout the period of use of the Site and until a new version replaces it. Where applicable, certain services accessible via the Site may be subject to additional specific conditions which are mentioned when using the services concerned.

The Publisher has the right at any time to modify all or part of the ToU, without prior notice or information to the User. The User should therefore regularly refer to the latest version of the ToU that will be applicable to him/her during his/her visit to the Site.

This service enables requests made by Users in the contact forms to be sent to us by e-mail and to notify the User that the request has been received by our services. A third-party company provides this service: MAILJET SAS, with capital of €78,669.66, with its registered office at 43 rue de Dunkerque 75010 Paris, France. RCS Paris 524 536 992

 

ARTICLE 5 : SITE ACCESS

Users access the Site using their own equipment, hardware and Internet connection. All costs required to access the services (computer hardware, Internet connection, etc.) are at the User’s expense.

The Site can be accessed from most recent web browsers.

However, the Site works best with the two latest versions of the following browsers:

  • Firefox
  • Microsoft Edge
  • Safari

Some features may not be fully compatible with older versions of these browsers or with other browsers not listed here.

The User acknowledges that he/she has been informed that third parties may introduce viruses or dangerous components onto the Site or onto the servers hosting them. It is therefore up to them to take all appropriate measures to protect themselves against such threats.

It is your responsibility to ensure (i) that the configuration of your operating system and the browser is secure and (ii) that the cache memory of your browser has been cleared so that the accessible pages are up to date.

 

ARTICLE 6 : AVAILABILITY

The Website is, in principle, accessible 24 hours a day, 7 days a week, barring scheduled or non-scheduled interruptions for maintenance, updating or in cases of force majeure. Being subject to a best endeavours obligation, the Publisher offers no guarantee of continuity of service and cannot be held responsible in the event of the temporary unavailability of all or part of the Website. The Publisher cannot be held liable for any damage whatsoever resulting from the unavailability of the Site.

The Publisher has the right, at its sole discretion, to cease providing all or part of the Services or functionalities of the Website, either permanently or temporarily, without compensation or prior notice. Furthermore, the Publisher has the right to refuse any registration for the Services, for any legitimate reason, without this refusal giving rise to any right to compensation for the User concerned.

In the event of any breach by the User of the ToU, or more generally in the event of any infringement of laws and regulations, the Publisher reserves the right, at any time, with or without prior notice, to take any sanctions it deems necessary. The Publisher may thus delete any content placed online on the Site, block access or delete the Account concerned where appropriate, notify the legal authorities or initiate legal proceedings.

The information and data made available via the Website are provided for information purposes only and do not constitute legal and/or operational counsel or engage the liability of the Publisher.

The Publisher reserves the right to remove any content published on the Site which, in its sole judgement, may infringe any right of a third party.

The User undertakes to maintain the confidentiality of the information accessible via the Site and/or the Services.

The Publisher does not provide the User with any guarantee as to the security of the transmission of information, data or documents of any kind via the Website. The Publisher is not responsible for any interception, hacking or theft of such information by a third party during its transmission.

All trademarks, photographs, texts, comments, illustrations, animated or still images, video sequences, sounds, as well as all computer applications that may be used to play the media and more generally all elements reproduced or used on the media are protected by the intellectual property laws in force.

Unless otherwise stated, these elements are the exclusive property of the Publisher and/or of any companies belonging to SAMSIC RH or its partners, contractors or suppliers. Any reproduction, representation, use or adaptation, in any form whatsoever, of any of these elements, including computer applications, without the prior written consent of the Publisher or the rights holder is strictly prohibited, with the exception of downloading, displaying and printing for private non-commercial purposes.

You may only use the Website to access the Services for private, non-commercial purposes.

In particular, you expressly acknowledge and agree that the use of automated systems or software to extract data from the Website, in particular any content (including but not limited to screen shots, screen scraping and web scraping), for any purpose whatsoever, commercial or otherwise; is strictly prohibited, unless an operating licence agreement has been concluded with the Publisher or rights holder. The Publisher’s failure to initiate proceedings as soon as it becomes aware of these unauthorized uses does not constitute acceptance of said uses and waiver of prosecution.

In accordance with Article L. 122-4 of the French Intellectual Property Code, any representation, reproduction, extraction, or exploitation not expressly authorized by the Publisher or the rights holder, in whole or in part, whether free of charge or not, and by any means whatsoever of at least one element of the Website , is illegal and constitutes an infringement punishable by articles L. 335-2 and following of the French Intellectual Property Code.

 

ARTICLE 10 : LIMITATION OF LIABILITY – NO WARRANTY

The Publisher, its legal representatives, directors and/or employees shall not be held liable for any damage whatsoever, whether direct or indirect, arising from connection to and/or use of the Site and/or any Services, in particular in the event of use of the Site which does not comply with the ToU.

The Publisher only undertakes a simple best endeavours obligation with regard to availability and access to the Site.

The Publisher cannot be held responsible in the event of legal proceedings against a User:

  • as a result of using the Site or any service accessible via the Internet;
  • as a result of non-compliance with the ToU.

The Publisher is not liable for any damage caused to the User, third parties and/or any equipment as a result of connecting to or using the Site. The User waives any action against the Publisher as a result.

If the Publisher becomes the subject of amicable or legal proceedings as a result of the misuse or non-use of the Site, it may take action against the User concerned to obtain compensation for all damages, sums, fines and costs that may arise from such proceedings.

 

ARTICLE 11 : EVIDENCE, CONSERVATION AND ARCHIVING

The User acknowledges that the computerized registers kept in the Publisher’s systems in accordance with best practices in terms of security will be considered as evidence that has probative force for email communications, registration form submissions, document downloads, acceptances, subscriptions to services and orders placed. These documents and data are archived on a medium designed to ensure the integrity and the faithful and durable character required by the legal provisions in force. It is hereby agreed that in the event of any discrepancy between the Publisher’s computerized records and any documents in any format (paper, electronic or other) held by the User, the Publisher’s computerized records shall prevail.

 

ARTICLE 12 : HYPERTEXT LINKS

The User is strictly prohibited from setting up any hypertext links to all or part of the Site without the prior written authorization of the Publisher, following a request addressed to the Communication and Marketing Department.

The Publisher is free to refuse this authorization without having to justify its decision. If the Publisher grants its authorization, it is specific and only temporary and may be withdrawn at any time, without any obligation of justification on the part of the Publisher.

Any link must be removed upon simple request by the Publisher, made by any means.

The Publisher does not accept any responsibility for the content of third-party sites proposed by the Site via hypertext links, or for the use that may be made of them by the User. These hypertext links do not imply any approval by the Publisher. The use of these hypertext links is therefore at the User’s own risk. The responsibility of the Publisher ends when the User leaves the site to access the third-party site via the hypertext link.

ARTICLE 15 : APPLICABLE LAW

The ToU are written in French, which is their language of interpretation.

The ToU are governed by French law and are subject to the jurisdiction of the courts within the jurisdiction of the Court of Appeal of RENNES.

Any use of the Site will be deemed to have taken place on French territory.
